The mission of the Entrepreneur Club is to provide innovative, entrepreneurial minds with a broader view of the business curriculum which will ultimately encourage our members to establish or expand their own businesses.

The Entrepreneur Club is headquartered on the Fort Lauderdale campus of Keiser University and was founded on Sept 20th, 2007. The club is served by the Student Board of Executives and the Faculty Board of Advisors.

Article I. Name of the Organization

The name of this organization shall be The Entrepreneur Club, Corporate Headquarters, and Ft. Lauderdale Chapter. Article II. Our Purpose The Purpose of the Entrepreneur Club shall be:

1. To equip members with the knowledge, skills, and abilities to start their own businesses in the future

2. To provide social and business networking opportunities

3. To establish relationships with the local business community

4. To abide by the policies and procedures of Keiser University

Article III. Our Contribution

i. The Entrepreneur Club contributes to the overall mission of Keiser University by preparing graduates for a career in business.

ii. Students who participate in the Entrepreneur Club will be provided with first-hand experience in project management, fundraising, and company development.


iii. One of the objectives of the Entrepreneur Club is to add value to participating members through networking, community involvement, and essential skills that will make them more marketable in the future. We also aim to create valuable social and business relationships for our members which we intend to give them an advantage if they choose to seek employment.


iv. The Entrepreneur Club provides a safety net for all of our members who have decided to pursue a new business venture. We do so by giving each member time at our meetings to discuss their ideas and to receive valuable feedback and perspectives from the other members.

v. The Entrepreneur Club is primarily a “think tank” for innovative, entrepreneurial minds to share ideas and perspectives. Members are encouraged to pursue new business ideas. The business ventures of our members are not directly associated with the Entrepreneur Club or Keiser University. In other words, the Entrepreneur Club and Keiser University are not responsible or liable for the actions of its members.


vii. One of the other objectives of the Entrepreneur Clubs is to establish social and business relationships with the local business community. We would accomplish this objective by inviting guest speakers, setting up internship opportunities, and by participating in community service projects.


viii. Finally, The Entrepreneur Club strives to broaden the perspective of our participating members through information sharing, fundraisers, conferences, team building events, and social gatherings.


Article IV. Membership Dues and Financial Procedures


i. Currently, there are no dues associated with being a member. However, the Executive Committee may establish dues in the future that must be paid by all members.


ii. The amount of dues will be determined by the Executive Committee during the fiscal planning meetings in October and must be approved by a 2/3 majority.


iii. If in the future, the Executive Committee decides that dues will be required for club membership, the frequency of the dues collected will be determined at that time and approved by a 2/3 majority.


iv. The Entrepreneur Club is currently self-funded. Periodically, the club will sponsor various fundraising events, including car washes and bake sales.


v. There are several methods of fundraising for various projects:


1. Fundraisers (Car washes, Bake Sales, Etc.)

2. Member Funded (Investment)

3. School Funded (Project-by-Project Basis)

4. Donations by Non-Members and Business Entities


vi. All monies collected by the Entrepreneur Club will be deposited and disbursed by the Vice President of Finance. All funds must be deposited within 24 hours of receipt. Disbursement of funds must be approved by at least one member from the Board of Advisors.

vii. If for any reason, the existing club is dissolved. Any remaining funds will be kept in the Entrepreneur Club account for a period of three years to assist the start-up of the next Entrepreneur Club.


Article V. Membership

i. The target for membership is all Keiser Students on all Keiser Campuses.

ii. The Entrepreneur Club does not discriminate on the basis of race, creed, color, handicap, national origin, sex, age, political affiliation, sexual orientation, marital status or religious belief.


iii. Each Member must attend meetings at least one time per month, pay any dues if applicable, and support the club by participating in fundraising events.


iv. The Entrepreneur Club is planning to create Chapters on all Keiser University campuses and Career Colleges. Periodically, there will be regional conferences with all eligible members of the Entrepreneur Club, as defined above.


Article VI. Meetings

The Entrepreneur Club meetings are held every Thursday (excluding final’s week and vacations) beginning at 1:15pm and ending at 2:30pm. Meeting days and times may be changed by a unanimous vote by all members present, with sufficient advanced notice given to each member that a vote will take place.


Article VII. Officers or Chairs

i. The Entrepreneur Club will be managed by a Corporate Executive Committee consisting of a CEO and appointed Cabinet Members. CEO’s will be voted in by a 2/3 majority vote by all members of the Executive Committees. Cabinet Members will be appointed by the CEO.


ii. Each Chapter will have its own Executive Committee that will include at minimum the positions of President, Vice President, Executive Secretary, and Vice President of Finance.


iii. The Executive Committee will be elected to their positions by a majority vote by all club members.


iv. Formal elections will be held once yearly on the anniversary week in September. However, an informal election may occur at any time if a current Officer steps down or resign his or her position.


v. Officers are required to attend a majority of meetings, participate in planning sessions, and perform their responsibilities in a professional manner.


Article VIII. Duties and Responsibilities

1. CEO
Responsibilities include, but are not limited to:


a) Supporting a healthy growth of the organization
b) Working with Executive Committees on setting organizational goals and creating plans to attain these goals.
c) Appointing highly skilled and motivated staff to the Cabinet.
d) Overseeing the budget of the organization and ensuring these resources are being used properly and programs are being carried out as planned.
e) Maintaining important relationships with the heads of companies, institutions, departments, boards, and committees to determine the level of support of proposed programs.
f) Approving changes to the Articles of the Constitution and By-Laws through the Amendment process.



2. President
Responsibilities include, but are not limited to:


a) Presiding at all Meetings
b) Keeping in compliance with all policies, rules, and regulations of Keiser University
c) Maintaining a ratified Constitution, meeting all requirements, on file with student services each year
d) Overseeing the carrying out of responsibilities required of the Executive Committee
e) Appointing any special committees
f) Approving budgets and Scholarship amounts for members of the Executive Committee
g) Resolving any disputes involving club members
h) Acting as a liaison with Student Government, Student Services, Faculty Advisors, and any other group or company that supports the Entrepreneur Club.

3. Vice President
Responsibilities include, but are not limited to:


a) Assisting the President in his/her official duties
b) Assuming the responsibilities of the President in his/her absence
c) Assisting in the implementation of programs
d) Serving on and attending all meetings of the Executive Committee

4. Executive Secretary
Responsibilities include, but are not limited to:


a) Overseeing the administration and management of all corporate documentation
b) Maintaining a master log of meeting minutes, agendas, financial records, events flyers, speaker notes, policies, procedures and the Constitution.
c) Supplying a current and exact copy of this master log to the Department of Student Services.
d) Performing other duties directed by the President
e) Serving on and attending all meetings of the Executive Committee

5. VP of Finance
Responsibilities include, but are not limited to:


a) Keeping accurate records of all funds received and expended
b) Supplying two copies of these records to the Executive Secretary
c) Collecting dues, if applicable, and notifying members who are delinquent in their payments
d) Creating budget reports and proposing scholarship amounts for members of the Executive Committee
e) Performing other duties directed by the President
f) Serving on and attending all meetings of the Executive Committee


Article IX. Affiliation

i. Currently, The Entrepreneur Club does not have an affiliation with any local, state, or national organization outside of Keiser University. However, the Student Board of Executives and Faculty Board of Advisors have discussed this potentiality and will pursue this objective in the future.


ii. The Corporate Headquarters of the Entrepreneur Club is located in Fort Lauderdale. Future plans also include expansion to the remaining Keiser Campuses: Daytona Beach, Jacksonville, Kendall, Lakeland, Melbourne, Orlando, Pembroke Pines, Port St. Lucie, Sarasota, Tallahassee, Tampa, and West Palm Beach.


Article X. Records

i. The records of the Entrepreneur Club will consist of meeting minutes, agendas, financial records, membership information, and news articles.


ii. The organization will maintain an online database containing the items stated above and a website for its members.



Article XI. Amendments to the Constitution

i. The Constitution may be amended by a majority vote of the members present with proper notification having first been given to the entire membership.


ii. The Constitution will be considered ratified upon signature approval from the President of the Chapter, one of the Faculty Board of Advisors, the Director of Student Services, and the Entrepreneur Club CEO.


iii. Bylaws may be added or amended by a majority vote of the members present after proper notification of a membership, following the same signature approval procedure stated above.


Article XII. Regulations

i. The Entrepreneur Club is a professional organization whose mission and purpose is to prepare future business leaders. We will adhere to the Keiser University catalog and all other laws, rules, and regulations governing the University and its students.


ii. In accordance with these regulations, all acts of hazing or harassment, both physical and mental, shall be expressly prohibited.


iii. Club members must also abide by the dress code of the University at all times.



Article XIII. Planning Requirements


i. On September 20th of each year, Executive Committees will submit a one year primary goal with a minimum of a six month plan to achieve this goal for the organization along with the following:


· Goals and Objectives of the Chapter
· Dates, times, and locations of meetings
· Proposed topics to include in meetings
· Proposed guest speakers from the community
· A Calendar of Events, Meetings, and Speaker Dates


Article XIV. By-Laws

i. A set of Bylaws will be included with the Constitution. The bylaws are a running record of the detailed ways by which members have currently agreed to work within the organization’s structure. The bylaws provide for continuing development, revision and perfection of ways to work. When these become fairly firmly established practice over two or three years, they may be inserted into the Constitution by amendment.


ii. Such a division of rules and procedures between constitution and bylaws permits program, budget, and committee structure to develop as the group grows. As these ways of work crystallize, the constitution may be amended to provide for new officers, standing committees, financial procedures, and other practices necessary to maintain the group. Any changes to the approved initial constitution must first be approved by the President of the Chapter, one of the Faculty Board of Advisors, the Director of Student Services, and the Entrepreneur Club CEO.


iii. A hard copy and editable, electronic copy of the constitution and bylaws must be submitted, along with a list of ten charter members, and faculty/staff advisor to the Department of Student Services for review.


iv. The constitution, bylaws, and supporting documents (officer and advisor forms) will be reviewed by the Director of Student Services, Campus President, Program Director, Associate Vice Chancellor of Academic Affairs and Executive Vice Chancellor as part of the approval process. Please allow at minimum one month for review and approval after submitting your request with all the required documentation.


v. If approved, the chapter may begin holding meetings as outlined in the submitted 6-month plan. A chapter officer is responsible for submitting copies of meeting agenda to the Department of Student Services 48 hours in advance of each meeting. A chapter officer is responsible for turning in the meeting minutes within 72 hours of each meeting to the Department of Student Services.


vi. The Department of Student Services will assist your organization by including information on the campus calendar and newsletter as needed and keeping a copy of the minutes and meeting agendas provided.
